A proforma invoice looks almost exactly like a real invoice, and that’s exactly what causes confusion. It has the same line items, the same totals, sometimes the same layout, but it’s not a demand for payment and it’s not a legal invoice. This guide covers what a proforma invoice actually is, when to use one, and a free template structure you can use immediately.

What a Proforma Invoice Actually Is

A proforma invoice is a preliminary document sent to a buyer before a sale is finalized, laying out expected pricing, quantities, and terms. It’s not a request for payment and it doesn’t create a legal obligation. Think of it as a formal quote dressed in invoice clothing: it gives the buyer everything they’d see on a real invoice, so they can plan, budget, or arrange financing, before the actual transaction happens.

When to Actually Use One

Before finalizing a large order. A proforma invoice lets a buyer confirm pricing and terms before committing, useful when the order size or customization means both sides want it in writing before production starts.

International trade. Exporters commonly issue a proforma invoice so importers can arrange customs clearance and financing ahead of the actual shipment. This is one of the most common use cases for manufacturers specifically.

Custom or made-to-order production. If you’re manufacturing to a customer’s specification, a proforma invoice confirms exactly what’s being built and at what price before you commit raw materials and production time.

Advance payment requests. Many manufacturers require partial payment upfront before starting a production run. A proforma invoice is the standard document to formalize that request.

Proforma Invoice vs Regular Invoice vs Quotation

A quotation is informal and typically less structured, more of an estimate. A proforma invoice is more formal and detailed, looking like a real invoice, but still not a demand for payment or a legal bill. A regular tax invoice is the final, legally binding document issued after the sale is confirmed, and is what triggers GST liability and payment obligation.

The confusion usually happens because a proforma invoice and a final invoice can look nearly identical. The difference is entirely in intent and legal status, not layout.

Free Proforma Invoice Template Structure

Header: Your business name, logo, address, and contact details, clearly marked Proforma Invoice, not just Invoice.

Buyer details: Name, address, and contact information for the prospective buyer.

Reference details: A proforma invoice number, kept separate from your regular invoice numbering sequence, and the date issued.

Line items: Product or service description, quantity, unit price, and estimated total per line, exactly as they would appear on the final invoice.

Estimated taxes and totals: Expected GST or applicable taxes, clearly marked as estimated, plus the total estimated value.

Terms: Expected delivery date, payment terms, validity period of the quoted pricing, and any Incoterms if this involves international shipment.

Clear disclaimer: A line stating this is not a tax invoice and does not represent a demand for payment.

Common Mistakes

Using the same numbering sequence as regular invoices. This creates confusion in your records and can cause reconciliation problems later.

Forgetting to mark it clearly as a proforma invoice. If it looks identical to a real invoice with no label, a buyer or your own accounting system can mistake it for a demand for payment.
